IMPORTANT NOTICE:
IDAO is a decentralized protocol for binary options and prediction markets on cryptocurrency assets. By accessing or using IDAO, you acknowledge that you understand the risks associated with trading digital assets and derivatives, and you accept full responsibility for your trading decisions. IDAO does not provide investment advice.
1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and IDAO ("Protocol", "we", "us", "our") governing your access to and use of the IDAO website located at idao.finance, including any subdomains, mobile applications, decentralized protocol interface (collectively, the "Platform").
By accessing, connecting to, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Platform.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Platform. Your continued use of the Platform following any changes constitutes acceptance of the modified Terms.
2. ELIGIBILITY AND RESTRICTED PERSONS
2.1 Age Requirement
You must be at least eighteen (18) years of age, or the legal age of majority in your jurisdiction, whichever is greater, to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.
2.2 Restricted Persons
The Platform is NOT available to any persons who are "Restricted Persons". For purposes of these Terms, "Restricted Persons" means any person who:
- (a) is a resident of, citizen of, incorporated in, or has a registered office in the United States of America or any of its territories or possessions (including Puerto Rico, American Samoa, Guam, Northern Mariana Islands, and the U.S. Virgin Islands);
- (b) is a resident of, citizen of, incorporated in, or has a registered office in the United Kingdom of Great Britain and Northern Ireland;
- (c) is a resident of, citizen of, incorporated in, or has a registered office in any Member State of the European Union;
- (d) is a resident of, citizen of, incorporated in, or has a registered office in Canada;
- (e) is a resident of, citizen of, incorporated in, or has a registered office in Cuba, Iran, North Korea, Syria, Myanmar (Burma), the Crimea, Donetsk, or Luhansk regions of Ukraine, or any other jurisdiction subject to comprehensive sanctions by the United States, United Nations, or European Union;
- (f) is subject to any sanctions administered or enforced by the U.S. Department of Treasury's Office of Foreign Assets Control ("OFAC"), the United Nations Security Council, the European Union, or any other governmental authority;
- (g) is otherwise prohibited by applicable laws or regulations from accessing or using the Platform.
If you are a Restricted Person, you are strictly prohibited from accessing, using, or attempting to use the Platform. We implement technical measures, including IP-based geo-blocking, to prevent access by Restricted Persons. Any attempt to circumvent these restrictions is a violation of these Terms and may be a violation of applicable laws.
3. DESCRIPTION OF SERVICES
3.1 Platform Overview
IDAO is a fully decentralized ("DEX") protocol that enables users to engage in binary options trading and prediction markets on cryptocurrency assets. The Platform operates entirely on blockchain technology and smart contracts, without centralized custody of user funds.
3.2 Binary Options
Binary options are financial instruments that allow users to speculate on the price movement of cryptocurrency assets within a specified time frame. Users predict whether the price of an asset will be above or below a certain level at expiration. If the prediction is correct, the user receives a predetermined payout; if incorrect, the user loses the invested amount.
3.3 Prediction Markets
Prediction markets on IDAO allow users to trade on the outcome of future cryptocurrency price movements. These markets aggregate information from participants to generate probability estimates of specific outcomes.
3.4 Non-Custodial Nature
IDAO is a non-custodial protocol. We do not hold, control, or have access to your digital assets at any time. All transactions are executed through smart contracts on the blockchain. You maintain full control and ownership of your assets through your own digital wallet.
4. WALLET CONNECTION AND USER RESPONSIBILITY
To use the Platform, you must connect a compatible third-party digital wallet ("Wallet"). By connecting your Wallet, you acknowledge and agree that:
- (a) Your use of your Wallet is governed by the terms and conditions of the applicable Wallet provider;
- (b) Wallets are not maintained, supported, associated with, or affiliated with IDAO;
- (c) You are solely responsible for the security of your Wallet, including private keys, seed phrases, and passwords;
- (d) We are not responsible for any loss of funds due to compromised Wallet credentials, phishing attacks, or any other security breach;
- (e) All blockchain transactions are irreversible once confirmed.
5. RISK DISCLOSURES
TRADING BINARY OPTIONS AND PARTICIPATING IN PREDICTION MARKETS INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL USERS. You should carefully consider whether such trading is appropriate for you in light of your circumstances and financial resources.
5.1 Market Risks
Cryptocurrency markets are highly volatile. Prices can fluctuate significantly within short periods. Past performance is not indicative of future results. You may lose all or a substantial portion of your invested capital.
5.2 Smart Contract Risks
The Platform relies on smart contracts deployed on blockchain networks. While these contracts are designed to function as intended, they may contain bugs, vulnerabilities, or be subject to exploits. We do not guarantee the security or error-free operation of any smart contract.
5.3 Regulatory Risks
The regulatory environment for cryptocurrency and derivatives trading is evolving and uncertain. Changes in laws or regulations may adversely affect your ability to use the Platform or the value of your assets.
5.4 Technology Risks
Blockchain networks may experience congestion, delays, or failures. Network fees may fluctuate significantly. The Platform may be unavailable due to technical issues, maintenance, or circumstances beyond our control.
5.5 Liquidity Risks
There is no guarantee of liquidity in any market on the Platform. You may not be able to enter or exit positions at desired prices.
6. USER REPRESENTATIONS AND WARRANTIES
By using the Platform, you represent and warrant that:
- (a) You are not a Restricted Person as defined in Section 2.2;
- (b) You have the legal capacity and authority to enter into these Terms;
- (c) You will comply with all applicable laws and regulations in your jurisdiction;
- (d) You will not use the Platform for any illegal or unauthorized purpose;
- (e) You understand the risks associated with binary options trading and prediction markets;
- (f) You are using funds that you can afford to lose;
- (g) All information you provide is accurate and complete;
- (h) You will not attempt to manipulate markets, engage in wash trading, or participate in any fraudulent activity;
- (i) You will not use any automated systems, bots, or scripts to interact with the Platform in a manner that could disrupt its operation;
- (j) You will not attempt to circumvent any geo-blocking or access restrictions.
7. PROHIBITED ACTIVITIES
You agree NOT to:
- (a) Use the Platform if you are a Restricted Person;
- (b) Use VPN, proxy, or any other method to circumvent geographic restrictions;
- (c) Engage in market manipulation, including spoofing, layering, or wash trading;
- (d) Use the Platform for money laundering, terrorist financing, or any other illegal activity;
- (e) Attempt to exploit, hack, or compromise the Platform or its smart contracts;
- (f) Interfere with or disrupt the Platform's infrastructure;
- (g) Reverse engineer, decompile, or disassemble any part of the Platform;
- (h) Use the Platform in any manner that could damage, disable, or impair its operation;
- (i) Impersonate any person or entity or misrepresent your affiliation;
- (j) Collect or harvest user data without authorization.
8. INTELLECTUAL PROPERTY
8.1 Ownership
All intellectual property rights in the Platform, including but not limited to trademarks, logos, designs, text, graphics, and software, are owned by or licensed to IDAO. Nothing in these Terms grants you any right, title, or interest in such intellectual property.
8.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose.
8.3 Open Source Components
Certain components of the Platform may be released under open source licenses. Your use of such components is governed by the applicable open source license terms.
9. PRIVACY AND DATA COLLECTION
9.1 Data Collection
When you access or use the Platform, we may collect certain information, including:
- (a) Wallet addresses and public blockchain transaction data;
- (b) IP address and geolocation data (for compliance with geographic restrictions);
- (c) Device information, browser type, and operating system;
- (d) Usage data and interaction with the Platform.
9.2 Purpose of Collection
We collect this data to:
- (a) Provide and improve the Platform;
- (b) Enforce geographic restrictions and identify Restricted Persons;
- (c) Ensure security and prevent fraud;
- (d) Comply with applicable laws and regulations.
9.3 Third-Party Services
We may use third-party service providers for analytics, geo-blocking, and other purposes. Your interaction with such services is subject to their respective privacy policies.
9.4 Blockchain Data
You acknowledge that blockchain transactions are publicly visible and permanently recorded. We have no control over and cannot delete blockchain data.
10. FEES
10.1 Platform Fees
The Platform may charge fees for certain transactions or services. All applicable fees will be disclosed before you confirm a transaction.
10.2 Network Fees
You are responsible for all blockchain network fees (gas fees) associated with your transactions. Network fees are paid to network validators and are not retained by IDAO.
10.3 Fee Changes
We reserve the right to modify our fee structure at any time. Changes will be posted on the Platform and will apply to transactions after the effective date.
11. DISCLAIMERS
11.1 "As Is" Basis
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
11.2 No Guarantee
We do not warrant that:
- (a) The Platform will be uninterrupted, timely, secure, or error-free;
- (b) The results obtained from using the Platform will be accurate or reliable;
- (c) Any errors or defects will be corrected;
- (d) The Platform is free of viruses or other harmful components.
11.3 No Investment Advice
IDAO does not provide investment, financial, tax, or legal advice. All trading decisions are made solely by you. You should consult with qualified professionals before making any financial decisions.
11.4 Third-Party Content
The Platform may contain links to third-party websites or resources. We are not responsible for the content, accuracy, or availability of such external sites.
12. LIMITATION OF LIABILITY
12.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IDAO, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF IDAO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF IDAO FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU TO IDAO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
12.3 Essential Basis
YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND IDAO, AND THAT IDAO WOULD NOT PROVIDE THE PLATFORM WITHOUT SUCH LIMITATIONS.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless IDAO, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- (a) Your use of the Platform;
- (b) Your violation of these Terms;
- (c) Your violation of any applicable laws or regulations;
- (d) Your violation of any third-party rights;
- (e) Any fraudulent or illegal activity conducted by you;
- (f) Your misrepresentation of your status as a non-Restricted Person.
14. DISPUTE RESOLUTION
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict of law principles.
14.2 Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be finally resolved by binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with its Arbitration Rules. The seat of arbitration shall be Panama City, Panama. The language of arbitration shall be English. The arbitral award shall be final and binding.
14.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.
14.4 Injunctive Relief
Notwithstanding the foregoing, IDAO may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or prevent irreparable harm.
15. TERMINATION
15.1 Termination by User
You may stop using the Platform at any time by disconnecting your Wallet.
15.2 Termination by IDAO
We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, including if we reasonably believe that:
- (a) You have violated these Terms;
- (b) You are a Restricted Person;
- (c) Your use poses a security risk to the Platform or other users;
- (d) Your use may expose IDAO to legal liability;
- (e) Continued access is prohibited by applicable law.
15.3 Effect of Termination
Upon termination, your right to access the Platform will immediately cease. Sections 5, 6, 10, 11, 12, 13, 14, and 16 shall survive termination.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms constitute the entire agreement between you and IDAO regarding the Platform and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.3 Waiver
The failure of IDAO to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
16.5 Force Majeure
IDAO shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or failures of third-party infrastructure.

16.7 Language
These Terms are provided in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
